UKE CUSTOMER AGREEMENT & TERMS OF SERVICE

This Customer Agreement & Terms of Service (“Agreement”) governs the purchase and use of tutoring and academic services offered by Ultimate Kids Experience, LLC (“UKE,” “we,” “our,” or “us”) through the website UltimateKidsExperience.com. By purchasing a class package, checking the acceptance box, or using UKE services, you agree to be bound by this Agreement.

1-Parties and Authority
This Agreement is entered into by the parent or legal guardian (“Parent”) purchasing services on behalf of a student (“Student”). By accepting this Agreement, the Parent represents and warrants that they are the Student’s parent or legal guardian and have full legal authority to enter into this Agreement on the Student’s behalf.

2-Description of Services
UKE provides online academic support services, including one-on-one tutoring, standardized test preparation, AP subject tutoring, and college-related academic guidance. Services are delivered online by independent tutors.

3-Tutors and Independent Contractor Status
Tutors providing services through UKE are independent contractors and not employees or agents of UKE. Tutors control the manner and means of instruction and are responsible for the content and delivery of tutoring sessions. UKE facilitates matching, provides operational guidelines, and offers tools for coordination and documentation.

4-Scheduling and Session Timeframes
Tutoring sessions are scheduled directly between the tutor and the Student or Parent in accordance with UKE guidelines. All sessions must be completed within the timeframe associated with the purchased class package, as indicated on the UKE website at the time of purchase. Sessions not completed within the applicable timeframe may be forfeited.

5-Attendance, No-Shows, and Rescheduling
UKE recognizes that occasional scheduling issues may arise. As a courtesy, the following applies:

• One same-day no-show with communication may be permitted
• One advance rescheduling request (communicated at least the day before) may be permitted

All rescheduled sessions are subject to tutor availability and must occur within the applicable package timeframe. Tutor-initiated rescheduling does not count against the Student or Parent. Additional missed or rescheduled sessions may be forfeited.

6-Cancellation and Refund Policy
Class packages are purchased for a defined number of tutoring sessions to be completed within a specified timeframe. Full payment is required at the time of purchase unless otherwise stated on the UKE website.

Cancellations requested prior to the start of the first tutoring session may be reviewed by UKE and, at UKE’s discretion, may result in a refund or credit, less any non-refundable processing fees. Cancellation requests must be submitted in writing.

Once the first tutoring session has taken place, class packages are non-refundable. Unused, missed, or forfeited sessions are not eligible for refunds, credits, or extensions, unless UKE expressly approves otherwise in writing.

If a Parent or Student is dissatisfied with a tutor, UKE may, at its discretion, reassign the Student to a different tutor, subject to availability. Tutor reassignment does not entitle the Parent or Student to a refund or credit for completed sessions.

Missed sessions and rescheduling are governed by the attendance and rescheduling rules set forth in this Agreement. Tutor-initiated rescheduling does not count against the Parent or Student.

7-Homework and Student Participation
Student progress depends on active participation. For applicable programs, including standardized test preparation and AP tutoring, Students are expected to complete assigned homework, practice tests, and review prior session key takeaways. Failure to complete assigned work may impact progress and results.

8-Documentation and Progress Tracking
UKE uses shared tools, including a Class Recap Sheet, to document session summaries, key takeaways, assignments, and progress. Parents and Students are encouraged to review these updates regularly to stay informed of the Student’s academic development.

9-Payments and Pricing
Class packages, pricing, and program details are displayed on the UKE website at the time of purchase. Payment is due at checkout unless otherwise stated.

10-Communications
UKE communicates with Parents and Students via text message, WhatsApp, and online tools used for tutoring coordination and documentation, including Google Drive. From time to time, UKE may send limited informational or program-related communications by text message, WhatsApp, or email. For additional details regarding data use and communications, please refer to UKE’s Privacy Policy.

11-Privacy
UKE’s collection and use of personal information are governed by the UKE Privacy Policy, available on the UKE website. By using UKE services, you consent to the practices described in that policy.

12-Intellectual Property
All UKE materials, systems, templates, formats, and proprietary content, including the structure of the Class Recap Sheet, remain the exclusive property of UKE. Such materials may be used solely in connection with UKE services and may not be copied, shared, or used for other purposes without UKE’s prior written consent.

13-Disclaimer of Guarantees
UKE provides services on an “as is” and “as available” basis. While UKE strives to provide high-quality academic support, no guarantees are made regarding academic improvement, test scores, grades, or admissions outcomes.

14-Limitation of Liability
To the maximum extent permitted by law, UKE shall not be liable for indirect, incidental, consequential, or special damages arising out of or related to the services. UKE’s total liability, if any, shall be limited to the amount paid by the Parent for the specific class package giving rise to the claim.

15-Modifications to Agreement
UKE may update this Agreement from time to time. Updated versions will be posted on the website with a revised “Last Updated” date. Continued use of UKE services after such updates constitutes acceptance of the revised Agreement.

16-Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict-of-law principles.

ACKNOWLEDGMENT AND ACCEPTANCE

By checking the acceptance box during checkout, you acknowledge that you have read, understood, and agreed to this UKE Customer Agreement & Terms of Service on behalf of yourself and the Student.
